Norfolk Southern sets salary and bonus for newly promoted CEO after Alan Shaw is fired

Norfolk Southern said Thursday that its new CEO’s salary will rise to $1 million after Mark George is promoted from chief financial officer and will be eligible for a $2.25 million bonus and substantial stock awards based on performance.

George previously earned $675,000 as chief financial officer, but got the railroad’s top job on Wednesday after Norfolk Southern’s board fired Alan Shaw for an inappropriate consensual relationship with the company’s general counsel.

The Atlanta-based railroad company disclosed details of George’s compensation in a filing with the U.S. Securities and Exchange Commission.

Norfolk Southern said that as a result of the termination without notice, Shaw will not receive any severance pay and will have to forfeit all outstanding stock awards.

Norfolk Southern has been the focus of a nationwide railroad safety investigation since one of its trains derailed and caught fire in East Palestine, Ohio, in February 2023. Half the town had to be evacuated when officials decided to blow up five tank cars filled with vinyl chloride and burn the plastic inside, creating a huge cloud of thick, black smoke.

Norfolk Southern said George will also receive stock grants valued at $4 million.

In January, George is eligible to receive a long-term incentive award of $10 million in stock.

The railroad said Shaw’s firing had nothing to do with the company’s financial performance and that it expects to continue to meet its goals for this year as George continues the planned turnaround of operations that began in the spring while Norfolk Southern fought off activist investor Ancora Holdings. Ancora was able to elect three directors, but not enough to take control of the railroad and fire Shaw as it recommended.

Norfolk Southern is one of the six largest railroads in the country, with tracks traversing the eastern United States.
